All pages within this website and any materials made available for download (collectively, the “Site”) are the property of My Smartfit Chair (“MSC”) and/or its affiliates and are protected by U.S. and international copyright and trademark laws.
You may use the Site for your personal use or the internal use of your business. You may not copy, reproduce, republish, upload, post, transmit, modify, or distribute any Site materials without MSC’s prior written permission. You must keep intact all proprietary notices (including copyright notices) on any downloaded materials and comply with any applicable end-user license agreements.
Any rights not expressly granted by these Terms or any applicable end-user license agreement are reserved by MSC.

The My Smartfit Chair name, logos, and service marks are trademarks or registered trademarks of MSC. All other trademarks, service marks, and logos on the Site are the property of their respective owners.

3. Warranty Disclaimer

THE SITE, INCLUDING ALL CONTENT, INFORMATION, AND ANY SITE-RELATED SERVICES, IS PROVIDED “AS IS,” WITH ALL FAULTS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
YOU ASSUME ALL RISK FOR YOUR USE OF THE SITE, SITE-RELATED SERVICES, AND ANY HYPERLINKED WEBSITES.
MSC, ITS AFFILIATES, AND SPONSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES ARISING OUT OF OR RELATING TO THE SITE OR CONTENT. YOUR SOLE REMEDY FOR DISSATISFACTION IS TO STOP USING THE SITE.

4. Confidential and Proprietary Information

MSC does not seek confidential or proprietary information through the Site. Any information or materials you send through the Site will be deemed not confidential. By submitting information, you grant MSC a worldwide, royalty-free, irrevocable license to use, reproduce, display, perform, modify, transmit, and distribute such materials, and you agree MSC is free to use any ideas, concepts, know-how, or techniques submitted for any purpose.

5. Registration

Certain Site features may require registration. You agree to provide true, accurate, current, and complete information and to update it as needed. Notify mysmartfitchair@nanyaplastics-usa.com immediately of any unauthorized use of your account or security breach. Your password should be unique and kept secure. MSC may change registration requirements at any time.

6. Eligibility to Purchase

Purchases through the Site are limited to parties who can lawfully enter into and form contracts online under applicable law, including the laws of the State of Texas, USA (if specified elsewhere in these Terms). You must provide your real name, phone number, email address, billing/shipping address, and valid payment details, and you represent and warrant that you are authorized to use the selected payment method.
By submitting an order, you authorize MSC to perform identity and anti-fraud checks and, where necessary, to transmit your information to third-party processors solely to validate your payment and authenticate transactions, in accordance with applicable Texas and federal laws.

7. Orders

All orders are subject to acceptance and availability; items in your cart are not reserved. MSC offers chairs and accessories that are in stock for dispatch from our distribution centers. From time to time, you may be offered pre-order/advance purchase for upcoming stock from our manufacturing partners. Pre-orders receive priority allocation once stock arrives. If production or quality issues prevent delivery of a pre-ordered item, we will notify you and refund your payment within thirty (30) days.
If you sign up for back-in-stock notifications, we’ll attempt to email you within 48 hours of availability; high-demand items may sell out quickly.
MSC will retain records of your transactions for at least one (1) year.

8. Pricing Policy

Prices are shown in U.S. Dollars and typically exclude taxes, shipping, and handling unless stated otherwise. Applicable sales tax will be added at checkout where required. Prices may change due to commercial factors. The price applicable to your order is the price in effect at the time your order is accepted.

Tier Promotion Returns: If a promotion depends on your order’s grand total (e.g., “Buy More, Save More”) and you return items, the discount tier may change and your refund will be recalculated accordingly.
Promo Codes: One code per order; not combinable and not applicable to past purchases.

9. Acceptance of Order

After placing an order, you will receive an email acknowledging receipt—this is not acceptance. Unless you cancel first, acceptance occurs when your order is packed and dispatched. At shipment, you’ll receive a second email with tracking information. The sales contract is deemed concluded in the State of California, USA, and the contract language is English.
MSC may refuse or cancel any order (e.g., payment authorization failure, shipping restrictions, out-of-stock items, or quality concerns). If an item was listed with an incorrect price, we will inform you and are under no obligation to fulfill the order. If you have paid, we will refund you promptly. If products are recalled in transit, your refund will be processed once the products return to us.

10. Payment

We accept Visa, MasterCard, Discover, American Express, PayPal, and other methods shown at checkout. When you select PayPal, you will be redirected to PayPal to complete payment and then returned to MSC. Payment is debited upon completion of packing. You confirm you are the authorized user of the payment method. All cardholders are subject to validation checks and authorization by the issuer. If authorization is refused, MSC is not liable for delay or non-delivery. If any item you ordered is unavailable, we will notify you by email.

11. Links to Other Sites

The Site may link to third-party websites. MSC is not responsible for and does not endorse any third-party content or sites. Use third-party sites at your own risk and ensure downloads are free of viruses, worms, trojan horses, or other destructive items.

12. Choice of Law and Venue

These Terms are entered into in the State of Texas and shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-laws rules. Each party submits to the exclusive jurisdiction and venue of the state courts located in Harris County, Texas, and the federal courts of the Southern District of Texas, and waives any objection to venue or forum non conveniens. In any action to enforce these Terms, the prevailing party is entitled to reasonable attorneys’ fees and costs. If any provision is held unenforceable, it will be limited to the minimum extent necessary so that the remaining Terms remain in full force and effect.

13. Entire Agreement; Changes

These Terms constitute the entire agreement between you and MSC regarding the Site. MSC may modify these Terms at any time by posting a revised version on the Site; your continued use after posting constitutes acceptance. Each visit is deemed a new transaction governed by the then-current Terms.

14. No Unlawful or Prohibited Use

As a condition of Site use, you warrant that you will not use the Site for any purpose that is unlawful or prohibited by these Terms.
